Terms of Service

1. Acceptance of Terms

By accessing or using ParticipationPro (“the Platform”), operated by Elite Advisor Tools, you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.

2. Description of Service

ParticipationPro is a compliance tracking and documentation platform for material participation strategies under IRC §469. The Platform provides hour logging, training modules, reminder systems, physical documentation workflows, and audit-ready report generation.

ParticipationPro is not a CPA, tax advisor, financial planner, broker, or attorney. The Platform provides compliance tracking tools only. Users should consult qualified professionals for tax, legal, and financial advice.

3. User Accounts and Roles

The Platform supports the following user roles:

• Strategy Vendors — Companies operating material participation strategies who configure compliance requirements
• Advisors / CPAs — Tax strategists and financial professionals who manage client compliance
• Clients / Investors — Individuals tracking material participation hours
• Support Users (CPAs, Spouses) — Read-only or limited access users

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

4. Subscription and Payment

Advisor subscriptions are billed monthly or annually via Stripe. Vendor Basic accounts are free. All fees are non-refundable except as required by law or as specified in our refund policy.

• Essential (Advisor): $29/month or $290/year
• White-Label (Advisor): $1,970/year
• Vendor Basic: Free
• Vendor Featured: $997/month
• Vendor Premier: $2,997/month

We may change pricing with 30 days' notice. Existing subscriptions are honored through the current billing period.

5. Data Ownership and Privacy

Client data is owned by the client. Advisors access client data through authorized relationships. Strategy vendors access aggregated, de-identified compliance data across their advisor network. See our Privacy Policy for details.

6. Immutable Audit Log

The Platform maintains an immutable, append-only audit log of all compliance-relevant actions including reminders sent, attestations signed, and activity log modifications. Audit log entries cannot be modified or deleted by any user, including Platform administrators.

Audit log entries may be anchored to the Bitcoin blockchain via OpenTimestamps for independent third-party verification. Blockchain anchoring is provided at zero additional cost and does not constitute a blockchain product or cryptocurrency service.

7. Physical Documentation

The Platform facilitates generation of print-ready compliance documents. Users are responsible for printing, signing, dating, and filing physical documents. The Platform logs print confirmations but does not verify that physical filing occurred.

8. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. WE DO NOT GUARANTEE THAT USE OF THE PLATFORM WILL RESULT IN IRS COMPLIANCE, SUCCESSFUL AUDIT DEFENSE, OR ANY PARTICULAR TAX OUTCOME. MATERIAL PARTICIPATION DETERMINATIONS ARE ULTIMATELY MADE BY THE IRS AND TAX COURTS.

9. Limitation of Liability

To the maximum extent permitted by law, Elite Advisor Tools shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of tax benefits, arising from use of the Platform.

10. Termination

Either party may terminate at any time. Upon termination, you may export your data for 90 days. After 90 days, data is permanently deleted except for audit log entries, which are retained for 7 years per IRS record retention requirements.

11. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Alachua County, Florida.
